1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you"), and Caplicity ("we," "us," or "our"), concerning your access to and use of the caplicity.online website as well as any related media form, consulting services, and client portals.

By accessing the site and utilizing our services, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the site and must discontinue use immediately.

2. Consulting Services & Deliverables

Caplicity provides enterprise-grade consulting in Operations, Finance, and Human Capital. The specific scope of work, deliverables, implementation timelines, and fees will be outlined in a separate, mutually signed Master Services Agreement (MSA) or Statement of Work (SOW) prior to the commencement of any active consulting engagement.

3. Client Responsibilities

To ensure the efficacy of our financial models and operational restructuring frameworks, the Client agrees to:

• Provide accurate, complete, and timely access to necessary corporate data, financial records, and operational workflows.
• Ensure that Caplicity partners have the necessary access to internal software systems, personnel, and vendor contracts required to complete the diagnostic audit.
• Acknowledge that any delay in providing requisite information may impact agreed-upon project timelines and deliverables.

4. Intellectual Property Rights

Unless otherwise indicated, the Site and all consulting frameworks, diagnostic models, proprietary software audits, methodologies, and branding provided by Caplicity are our proprietary property and are protected by copyright, trademark, and other intellectual property laws.

Clients are granted a limited, non-exclusive license to utilize the specific deliverables (such as custom SOPs and financial forecasting models) generated for their business during the course of the engagement. Clients may not resell or distribute Caplicity's proprietary operational frameworks to third-party entities.

5. Confidentiality (Mutual NDA)

Both Caplicity and the Client agree to maintain the strictest confidentiality regarding proprietary business information disclosed during the consulting process. Caplicity will not disclose the Client's financial data, trade secrets, or internal operational flaws to any unauthorized third party. A formal Non-Disclosure Agreement (NDA) will supersede this clause upon the execution of a consulting contract.

6. Limitation of Liability

Caplicity formulates its strategic recommendations based on the data provided by the Client and current market conditions. However, business involves inherent risks. In no event will Caplicity, its partners, or employees be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data arising from your execution of our strategic recommendations.

7. Governing Law & Dispute Resolution

These Terms and your use of the Site and Services are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding related to your access to or use of the Site or Services shall be instituted in a state or federal court in Florida, and you agree to submit to the jurisdiction of, and agree that venue is proper in, these courts.

8. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Site or our digital portals.
